01 · Acceptance of Terms

By accessing or using any service provided by CodeWaves Solutions Private Limited ("CodeWaves", "we", "us"), you agree to be bound by these Terms of Service.
If you do not agree to these terms, please do not use our services.
We reserve the right to update these terms at any time. Continued use of our services after changes constitutes acceptance.

CodeWaves provides AI-powered video reframing software ("Tracer"), custom software development, and AI consulting services.
Tracer processes videos you upload and produces reframed outputs optimized for vertical/short-form formats.
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

You must be at least 18 years old to use our services.
You are responsible for maintaining the confidentiality of your account credentials.
You agree to provide accurate and complete information when creating an account.
You are responsible for all activity that occurs under your account.

You may use our services only for lawful purposes and in accordance with these Terms.
You must not upload content that is illegal, harmful, obscene, defamatory, or infringes on any third party's intellectual property rights.
You must not attempt to reverse-engineer, hack, or disrupt our services or infrastructure.
You must not use our services to process content on behalf of third parties without their consent.
Violation of acceptable use policies may result in immediate suspension or termination of your account.

CodeWaves retains all rights, title, and interest in our services, software, models, and technology.
You retain ownership of the content you upload. By uploading content, you grant CodeWaves a limited license to process it solely for the purpose of delivering your requested output.
The processed outputs generated by Tracer are owned by you, subject to your compliance with these Terms.
You may not reproduce, distribute, or create derivative works from our platform without written permission.

Paid plans are billed in advance on a monthly or annual basis as selected at checkout.
All fees are non-refundable except where required by applicable law.
We reserve the right to change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance.
Failure to pay may result in suspension of your account.

Our services are provided "as is" and "as available" without warranties of any kind, express or implied.
We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements.
AI-generated outputs may not always be perfect; you are responsible for reviewing and validating results before use.

To the maximum extent permitted by law, CodeWaves shall not be liable for any indirect, incidental, special, or consequential damages.
Our total liability to you for any claim arising from these Terms or your use of our services shall not exceed the amount you paid us in the 3 months preceding the claim.
Some jurisdictions do not allow limitations on liability; these limitations may not apply to you.

You may terminate your account at any time by contacting us at sagar@codewaves.co.
We may suspend or terminate your access immediately if you violate these Terms.
Upon termination, your right to use our services ceases and we may delete your data subject to our Privacy Policy.

These Terms are governed by the laws of India, without regard to its conflict of law provisions.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India.
We encourage you to contact us first to resolve any disputes informally before pursuing legal action.
